Pro Lab Terms & Conditions

Welcome to the WAXNESS PRO LAB™ program (the “Program”). By submitting any idea, suggestion, feedback, sketch, photo, video, or other material (collectively, the “Submission”) to Waxness via waxness.com/prolab or any other channel, you agree to be legally bound by these Terms & Conditions.

Please read them carefully before participating.

1. Ownership and Intellectual Property Rights

Full Transfer of Rights: You acknowledge and agree that your Submission is entirely voluntary, gratuitous, and unsolicited. By making a Submission, you irrevocably assign, transfer, and convey all global rights, title, and interest in and to the Submission to Waxness, including all intellectual property rights, trademarks, patents, trade secrets, and copyrights.

Waxness Exclusive Ownership: Waxness reserves all exclusive rights to develop, manufacture, market, distribute, and sell any product resulting from or inspired by a Submission.

No Obligation or Compensation Beyond Rewards: Waxness is under no obligation to keep your Submission confidential, to compensate you for the idea itself, or to return any uploaded materials (such as sketches or videos). You agree that you will not be entitled to any royalties, residual fees, or ongoing financial compensation from the sales of any product developed under the Program, other than the official one-time Pro Lab Reward outlined below.

2. The Pro Lab Reward System

If Waxness chooses to move your Submission into product development and successfully launches a commercial product based on your idea, you will become eligible for the Pro Lab Reward.

• Eligibility: Rewards are only granted if Waxness, in its sole discretion, determines that your specific Submission directly resulted in the creation of a new commercial product. Similar or identical ideas already under development or previously submitted by others do not qualify.
• One-Time Reward: The reward constitutes the full and final compensation for the idea.
• Recognition: As part of the reward, and subject to your consent, your name and professional title may be featured on the product packaging, the Waxness website, and Pro Lab community materials (e.g., “Idea suggested by: Jessica Smith, Licensed Esthetician”).

3. Participant Representations & Warranties

By submitting your idea, you guarantee that:

• You are a licensed professional (e.g., Esthetician, Wax Specialist, Salon Owner, etc.) or are authorized to participate.
• The Submission is your own original work and does not violate or infringe upon the intellectual property, privacy, or publicity rights of any third party.
• The Submission does not contain any proprietary or confidential information belonging to another company or entity.

4. Submission Statuses

Submissions go through three distinct phases:

• SHARED: The idea has been successfully received by Waxness and is placed on our internal review list.
• UNDER REVIEW: Our product development team is evaluating the idea based on professional market need, manufacturing feasibility, and commercial potential.
• BUILT / DEVELOPED: The idea has been approved, assigned an official WAXNESS PRO LAB NUMBER (e.g., #0001XXX), and has moved into active formulation, manufacturing, or commercial launch.

5. Modification and Termination

Waxness reserves the right to modify, suspend, or terminate the WAXNESS PRO LAB™ program, or update these Terms & Conditions, at any time without prior notice. Continued participation after changes are posted constitutes acceptance of those changes.
